1. Agreement to terms
These Terms of Use (“Terms”) govern your access to and use of the websites, mobile applications, and related services offered by UseReplix and its affiliates (collectively, “UseReplix,” “we,” “us,” or “our”) (collectively, the “Services”).
By creating an account, downloading our apps, or otherwise using the Services, you agree to these Terms. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization.
2. The Services
UseReplix provides software to help businesses monitor and respond to online reviews and related customer feedback, including features that may use automation or artificial intelligence to draft or suggest replies based on your instructions and settings. We may update or modify features over time.
- Account-based access to UseReplix applications and web properties
- Optional integrations with third-party platforms (for example, Google Business Profile), subject to those platforms' terms and your permissions
- Documentation, templates, and in-product guidance provided for informational purposes
3. Your responsibilities
You stay in control. You decide what to publish, how to use suggested content, and how to comply with platform rules, advertising standards, and applicable laws. UseReplix does not guarantee any particular business or reputation outcome.
4. Accounts and acceptable use
- Provide accurate information and keep your login credentials secure.
- Do not misuse the Services: no unlawful activity, harassment, scraping that overloads our systems, or attempts to access data you are not authorized to view.
- You are responsible for content you submit for posting and for complying with applicable laws and third-party terms.
5. Intellectual property
UseReplix retains all rights in our branding, software, and documentation. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to use the Services for your internal business purposes in accordance with your plan and our documentation, unless we agree otherwise in writing.
6. User content
You retain rights to content you submit. By using features that store or process your content, you grant UseReplix a license to host, process, and display that content as needed to operate the Services (including to provide AI-assisted features you enable). You represent that you have the rights to grant this license.
7. Privacy
Our Privacy Policy explains how we collect and use personal information.
8. Disclaimers
The Services are provided “as is” and “as available.” To the fullest extent permitted by law, UseReplix disclaims implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
9. Limitation of liability
To the maximum extent permitted by law, UseReplix and its officers, employees, and partners will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill, arising from or related to the Services.
UseReplix's aggregate liability for any claim arising from the Services is limited to the greater of (a) amounts you paid UseReplix for the Services in the twelve (12) months before the claim, or (b) one hundred U.S. dollars (USD $100), except where applicable law does not allow such a cap.
10. Indemnification
You will defend, indemnify, and hold harmless UseReplix from claims, damages, and expenses (including reasonable attorneys' fees) arising from your misuse of the Services, violation of these Terms, or violation of law.
11. Termination
You may stop using the Services at any time. We may suspend or terminate access for conduct that violates these Terms, creates risk, or is required by law. Provisions that by their nature should survive will survive termination.
12. Changes to these Terms
We may modify these Terms by posting an updated version and revising the “Last updated” date. Continued use after changes become effective constitutes acceptance unless otherwise required by law.
13. Governing law
These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict-of-law rules, except where preempted by law or mandatory consumer protections in your jurisdiction apply.
